Under the terms of the agreement, Invensys has agreed to pay US$ 2.43 per share, equivalent to approximately US$ 24m on a debt/cash free basis. The agreement has been approved by the Board of Cimnet and the parties anticipate completion of the transaction within 60 - 90 days. Completion is subject to certain customary conditions including Cimnet stockholder approval. Stockholders representing approximately 51% of Cimnet’s outstanding shares have entered into voting agreements to support the merger.[/COLOR]
